| "Founding Member" | A Principal who subscribes to the Vestry Platform during the founding cohort period, as defined in Section 5. |
| "Subscription" | The recurring monthly payment arrangement that governs access to the Platform. |
| "Content" | All text, data, documents, reports, and other material generated by or entered into the Platform. |
| "Terms" | These Terms of Service, as amended from time to time in accordance with Section 16. |
Vestry is the Family Governance Operating System — an AI-assisted governance platform designed to help family principals and SMSF trustees organise, govern, and monitor their wealth. The Platform provides tools including a unified wealth dashboard, AI-assisted investment research briefings, family governance document generation, adviser coordination, regulatory monitoring, and alternative asset tracking.
Vestry is not a financial product, financial service, or investment adviser. The Platform does not provide personalised financial advice, portfolio management, or licensed referral services. Vestry does not hold an Australian Financial Services Licence (AFSL) or any equivalent licence in any other jurisdiction.
All investment decisions, financial decisions, and governance decisions remain solely the responsibility of the Principal. The Platform is an organisational and informational tool — not a substitute for qualified financial, legal, or tax advice.
To register for and use the Vestry Platform, you must:
The Platform is designed for and operated in Australia, Singapore, Hong Kong, and the United States. These are the jurisdictions in which Vestry has assessed its regulatory position and for which the Platform's governance templates, regulatory monitoring, and compliance features are configured.
Vestry expressly does not accept registrations from persons residing in or operating from New Zealand, the European Union, the United Kingdom, or any other jurisdiction not listed above. Vestry reserves the right to restrict access in any jurisdiction where the Platform would require regulatory approvals not currently held.
If you reside in or operate from a jurisdiction outside Australia, Singapore, Hong Kong, or the United States — including any member state of the European Union, the United Kingdom, or New Zealand — you acknowledge and agree that:
Vestry reserves the right to restrict or terminate access from any jurisdiction at any time, including where the Platform would require regulatory approvals not currently held.
To access the Platform, you must create an account by providing a valid email address and password. Account creation requires email verification before access is granted. All accounts are subject to mandatory two-factor authentication (2FA) using email one-time password (OTP) or SMS OTP.
You are responsible for all activity that occurs under your account. Vestry will not be liable for any loss arising from unauthorised access to your account where such access results from your failure to maintain credential security.
Access to the Vestry Platform requires a paid monthly subscription. All prices are denominated in United States Dollars (USD) and are exclusive of applicable taxes unless stated otherwise.
The Founding Member rate applies for a period of twelve (12) months from the date of your initial subscription ("Founding Period"). At the conclusion of the Founding Period, your subscription will automatically transition to the then-current standard rate. Vestry will provide no less than thirty (30) days' written notice by email to your registered email address prior to any rate change taking effect.
You may cancel your subscription at any time before the end of the Founding Period in accordance with Section 7. The Founding Member rate is personal to your account and is not transferable.
Vestry Technology Pty Ltd is registered for GST in Australia (ABN 15 699 575 034). Australian subscribers are subject to Goods and Services Tax (GST) on their subscription fee at the applicable rate (currently 10%). GST is calculated and collected automatically via Stripe Tax and will be reflected in subscription invoices issued to Australian subscribers. Prices displayed are exclusive of GST for Australian subscribers.
Non-Australian subscribers are not subject to Australian GST. SMSF trustees should note that subscription fees may be tax-deductible against SMSF fund income — consult your accountant to confirm deductibility in your specific circumstances.
Subscriptions are billed monthly in advance. Payment is processed on the same calendar date each month as your initial subscription date ("Billing Date"). All payments are processed securely through Stripe. By subscribing, you authorise Vestry to charge your nominated payment method on each Billing Date for the applicable subscription amount.
You may cancel your Vestry subscription at any time through your account settings or by contacting office@getvestry.ai. Upon cancellation, your access to the Platform will continue until the end of your current paid billing period. No further charges will be made after cancellation is confirmed.
Subscription fees are non-refundable once a billing period has commenced. Cancellation takes effect at the end of the current billing period — no partial-month refunds are issued. This policy applies to all subscription tiers including the Founding Member rate.
Vestry may, at its sole discretion, issue a refund in exceptional circumstances. Any such refund is at Vestry's discretion and does not create an obligation to issue refunds in future.
You agree to use the Vestry Platform only for its intended purpose — managing and governing your personal or family wealth. You must not:
Vestry reserves the right to suspend or terminate any account that violates these acceptable use provisions, without notice and without refund of any prepaid fees.
You retain ownership of all data you enter into the Vestry Platform ("Your Data"). Vestry does not claim any ownership rights over Your Data.
By entering data into the Platform, you grant Vestry a limited, non-exclusive licence to process, store, and use Your Data solely for the purpose of providing the Platform services to you. Vestry will not sell, share, or commercialise Your Data for any other purpose.
Vestry implements industry-standard security measures to protect Your Data, including Argon2 password hashing, mandatory two-factor authentication, encrypted data transmission (HTTPS/TLS), 30-minute session timeouts, and access logging. Full details are set out in the Vestry Privacy Policy.
Upon cancellation of your subscription, you may export Your Data in a standard format (CSV or JSON) within thirty (30) days of cancellation. After this period, Vestry will delete Your Data from its systems in accordance with the Privacy Policy, except where retention is required by applicable law.
The collection, use, and storage of your personal information is governed by the Vestry Privacy Policy, which forms part of these Terms. By accepting these Terms, you also accept the Privacy Policy.
All intellectual property rights in the Vestry Platform — including its software, AI models, design, trademarks, and content — are owned by or licensed to Vestry Technology Pty Ltd. The VESTRY trade mark (Trade Mark 2666662, Classes 36 and 42, priority date 27 June 2026) is owned by Vestry Holdings Pty Ltd and used by Vestry Technology Pty Ltd under licence.
Your subscription grants you a limited, non-exclusive, non-transferable licence to access and use the Platform for your personal wealth management purposes. This licence does not include any right to copy, modify, distribute, sell, or create derivative works from any part of the Platform.
The Vestry Platform enables a Principal to connect their own existing professional advisers to the Platform and to grant those advisers scoped access to selected records. Vestry does not operate an adviser directory, does not introduce or refer Principals to advisers, is not a licensed referral service, and does not pay or receive commissions, referral fees, or other remuneration in connection with any Principal–Adviser relationship. Adviser participation is free of charge: advisers pay nothing and are paid nothing.
All professional relationships between Principals and Advisers exist and are governed independently of Vestry. Vestry verifies adviser credentials against public professional registers before granting adviser access, but makes no representations about the qualifications, licensing, suitability, or conduct of any Adviser. You are responsible for conducting your own due diligence before engaging or continuing to engage any Adviser. Where Vestry provides an adviser with a complimentary account under the Practice Programme, that account is a demonstration account containing example data only; it is provided for evaluation and familiarisation and must not be used to store the adviser’s own or any client’s personal wealth records, and may be reset without notice.
Vestry is not a party to any agreement between a Principal and an Adviser and accepts no liability for any advice given, services provided, or outcomes arising from any Principal–Adviser relationship.
To the maximum extent permitted by applicable law, Vestry's total liability to you for any claim arising out of or in connection with the Platform or these Terms — whether in contract, tort (including negligence), statute, or otherwise — is limited to the total subscription fees paid by you in the three (3) months preceding the event giving rise to the claim.
Vestry is not liable for any indirect, incidental, consequential, special, or punitive damages, including loss of profits, loss of data, or investment losses, even if Vestry has been advised of the possibility of such damages.
Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any liability that cannot be excluded or limited by law.
The Platform is provided "as is" and "as available". Vestry does not warrant that the Platform will be error-free, uninterrupted, or free from inaccuracies. Market data, regulatory information, and AI-generated content provided through the Platform may contain errors and must not be relied upon as the sole basis for any financial or legal decision.
You agree to indemnify, defend, and hold harmless Vestry Technology Pty Ltd and its directors, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with:
Either party may terminate these Terms at any time. You may terminate by cancelling your subscription in accordance with Section 7. Vestry may terminate your access to the Platform immediately and without notice if:
Upon termination, your right to access the Platform ceases immediately (or at end of billing period for voluntary cancellation). Sections 9 (Your Data — export window), 10, 12, 13, and 15 survive termination.
These Terms are governed by the laws of the Australian Capital Territory, Australia. You and Vestry submit to the non-exclusive jurisdiction of the courts of the Australian Capital Territory for the resolution of any dispute arising under or in connection with these Terms.
Before commencing any legal proceedings, the parties agree to attempt to resolve any dispute through good-faith negotiation for a period of thirty (30) days following written notice of the dispute.
Nothing in this clause prevents either party from seeking urgent interlocutory or injunctive relief from a court of competent jurisdiction.
Vestry may update these Terms from time to time. The following notice requirements apply:
Vestry will not make any change to these Terms that would constitute an unfair contract term under the Australian Consumer Law or equivalent law in any supported jurisdiction.
